Avocent
acquires 2C Computing for $22.8 million in cash

Avocent Corporation today announced that it signed
a definitive agreement to acquire 2C Computing Incorporated for approximately
$22.8 million in cash. The acquisition is subject to the approval of
2C's shareholders and is expected to close on or before August 20, 2002.
2C has developed digital extension technology that provides
a unique extension solution for distributed, back-racked or managed
PCs, referred to as 'Split Client' architecture. A Split Client PC is
a standard PC that has 'split' the user interface portion (Video, USB,
etc.) up to 100 meters away from the computing resource. This permits
centralization of all PCs in one location or in secure locations throughout
a facility.
2C licensed the base technology from Avocent in early
2000 and began shipping its first product earlier this year.
